1. Agreement to Terms
By downloading, installing, or using TechPayeX software and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("User") and TechPayeX Ltd, a company incorporated in England and Wales ("TechPayeX", "we", "us", "our").
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
3. Purchase and Payment
TechPayeX is available as a one-time purchase under four editions: Bronze, Silver, Gold, and Platinum. Prices are displayed in British Pounds (GBP) and are inclusive of any applicable taxes. Payment is processed securely via our third-party payment processors. TechPayeX does not store your full payment card details. Upon successful payment, you will receive a licence key and download access by email. All sales are final — no refunds are issued except where required by applicable consumer protection law.
4. Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, TechPayeX grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the TechPayeX software on the number of devices permitted under your selected plan. The number of permitted devices varies by plan tier. The licence does not permit you to: sublicence, sell, resell, or transfer the software; modify, disassemble, decompile, or reverse-engineer the software; use the software to develop competing products or services; or use the software in any manner that violates applicable law.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that could damage, disable, overburden, or impair the Service; to attempt to gain unauthorised access to any part of the Service; to use the Service to distribute malware or engage in any other harmful or fraudulent activity; to scrape, copy, or frame any part of the Service without express written consent; or to violate any applicable local, national, or international law or regulation.
6. Updates and Changes
TechPayeX may update the software automatically from time to time to provide bug fixes, security patches, new features, or compatibility improvements. These updates are included as part of your subscription. TechPayeX reserves the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where possible. We will endeavour to notify active subscribers of any material changes.
7. Intellectual Property
The Service, including all software, content, logos, trademarks, and documentation, is owned by or licenced to TechPayeX Ltd and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use TechPayeX's trademarks, logos, or branding without our prior written consent.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy. Please review our Privacy Policy to understand our practices.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. TechPayeX does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We recommend maintaining independent backups of your data at all times.
10. Limitation of Liability
To the maximum extent permitted by applicable law, TechPayeX and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, goodwill, or other intangible losses, resulting from your use of the Service. Our total aggregate liability to you shall not exceed the total amount paid by you to TechPayeX in the 12 months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential damages, so the above limitations may not apply to you.
11. Termination
TechPayeX may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms, is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, the licence granted to you under these Terms will immediately cease. All provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, and limitations of liability — shall survive termination.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, without regard to its conflict of law provisions. If you are a consumer in the European Union, you may also have rights under local consumer protection laws.
13. Changes to Terms
We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by updating the date at the top of this page and, where appropriate, by sending an email notification to active subscribers. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
